Article I. Section 1. There shall not be less than six regular meetings of the Board during each fiscal year (October 1st - September 30th). These meetings shall be held in the library. Meetings are scheduled for 5:00 p.m. on the third Tuesday of each even month. The date may be changed at the recommendation of the Board Chairman and if it is agreeable to the other Board members. If a trustee is absent from three consecutive regular meetings during the calendar year, the Board may request that trustee's resignation. Absences may be excused by a vote of the Board. Section 2. Three members shall constitute a quorum.


Section 3. Special meetings may be called by the Chairman or Library Director. Notice, oral or written, must be given to each member twenty-four hours prior to the meeting. Amended: 3/2013


Article II. Duties of Board Members

Section 1. The Board, after consultation with the Director, shall define the general policies of the Library and shall pass necessary rules and regulations for the government and control of the library.

Section 2. Authorizes the technical administration and supervision of the Library and staff by the Director. Amended: 6/2013


Section 3. The Board may accept and receive donations either in money, land, or mixed property for the purpose of improving or maintaining the library.


Section 4. The Board of Trustees is responsible for the hiring of a competent and qualified Director.


Section 5. The Board of Trustees shall be instrumental in the development of long-range goals for the library as well as guiding, shaping, and building library services for the community. Amended: 6/13


Article III. Officers of the City Board


Section 1. Officers of the Board shall be a Chairman and a Vice-Chairman.


Section 2. Officers shall be elected at the first meeting in each fiscal year for a term of one year and shall take office as the last item of business in the meeting at which they are elected. Amended: 6/13


Article IV. Duties of Officers of the Board


Section 1. The Chairman shall preside at Board meetings and perform such other duties as generally pertain to that office.


Section 2. In the absence of the Chairman, the Vice-Chairman shall preside and perform the duties of the Chairman.


Section 3. The Chairman and the Vice-Chairman shall be from separate agencies. Amended: 6/13


Article V. Duties of the Library Director


Section 1. The Director shall supervise the entire library system. All employees shall be under the immediate direction of the Director. The Director shall have the authority to employ and dismiss staff members within the guidelines set forth by the City of Talladega.


Section 2. The Director shall prepare an annual budget and submit it to the Board for consideration near the end of the fiscal year.


Section 3. The Director shall be responsible to the Board for regular reports of activities and needs of the library program. A copy of these reports shall be sent to all participating agencies.


Section 4. The Director shall continuously study the service program of the library and recommend changes to the Board that will enhance services and increase efficiency.


Section 5. The Director shall submit written annual reports to the Board and send copies to the Alabama Public Library Service, all participating agencies in the system, and to City and County governing authorities.


Section 6. The Director, as Secretary, shall keep an active and accurate account of all proceedings of regular and special board meetings. The Library Director shall review and approve the minutes to be distributed to each Board member prior to the next board meeting. Amended: 6/13


Article VI. Financial Records


Section 1. All suggested items of expense shall be submitted to the Director for his/her approval and signature, and all purchases must be made by the Director. The Director shall approve all bills for payment and sign or countersign all checks on the general account.


Section 2. Bills paid will bear the number of the check and the date issued. Financial records shall be filed in the library secretary's office.


Section 3. The financial records shall be audited annually by a designated auditor.

Article VIII. Amendments

The above Bylaws may be amended at any meeting of the Library Board, provided that a copy of the proposed amendment shall be submitted in writing to each member not less than one week before adoption.
